1. Membership
Membership is by invitation only. Invitations are personal, single-use and may expire or be revoked before they are redeemed.
You must provide accurate information about yourself and the organization you represent, and keep it current.
We may decline, suspend or end a membership where conduct, accuracy or delivery standards are not met.
2. Roles
A Client requests and pays for professional services. An Expert delivers those services. A Connector introduces parties to one another.
A member may hold more than one role. Obligations attach to the role you are acting in for a given project.
3. Introductions and projects
An introduction is recorded when both parties accept it. Acceptance establishes attribution for any reward that may later become payable.
Scope, deliverables, milestones and price are set out in a proposal. Work should not begin before the proposal is accepted and the relevant milestone is funded.
The Circle Corporation is not a party to the agreement between Client and Expert. We provide the platform, the record and the payment mechanism.
4. Fees and rewards
Experts receive 80% of eligible fees on referred work. Connectors receive 20% of eligible fees. Eligible fees are the agreed project amount less taxes and any applicable platform fee.
The Connector reward is deducted from the Expert's share and is never added to the Client's price.
The Circle Corporation is currently operating as a demonstration build. Payments, payouts and rewards are simulated in an internal ledger and no live funds are processed.
5. Circumvention
Members must not arrange payment outside the platform for work that originated from a platform introduction, for twelve months following that introduction.
Circumvention may result in reversal of privileges, removal from the network and recovery of unpaid rewards.
6. Conduct and content
You are responsible for the content you submit, including briefs, proposals and messages, and for holding the rights necessary to submit it.
Harassment, discrimination, misrepresentation of credentials and solicitation unrelated to a live opportunity are prohibited.
7. Liability
The platform is provided on an as-is basis. We do not guarantee that an introduction will lead to work, or that work will meet a particular standard.
To the extent permitted by law, our liability is limited to the platform fees you have paid in the twelve months preceding the claim.
8. Changes
We may update these terms. Material changes will be notified to members, and continued use after the effective date constitutes acceptance.
